Payment terms for services will be specified in the applicable service agreement or proposal. Unless otherwise stated, invoices are due within thirty (30) days of the invoice date. Late payments may be subject to a late fee of one and a half percent (1.5%) per month or the maximum rate permitted by law, whichever is less. WinTechnology Inc. reserves the right to suspend or terminate services for non-payment. The client is responsible for all taxes applicable to the services, excluding taxes based on WinTechnology Inc.'s net income.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Riverside County, California, and you consent to the personal jurisdiction and venue of such courts.

10. Dispute Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or our services through good-faith negotiation. You shall send a written notice of the dispute to WinTechnology Inc. at the address listed below, and the parties shall attempt to resolve the dispute within thirty (30) days of receipt of such notice.

If the dispute cannot be resolved through negotiation within thirty (30) days, either party may initiate binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Riverside County, California. The arbitrator's decision shall be final and binding on both parties, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Each party shall bear its own costs and expenses of arbitration, and the parties shall share equally in the fees of the arbitrator and the AAA.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

We may terminate or suspend your access to our website and services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use our website and services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

For ongoing service engagements, either party may terminate the engagement in accordance with the termination provisions set forth in the applicable service agreement. If no service agreement exists, either party may terminate the engagement by providing thirty (30) days written notice to the other party. Upon termination of services, the client shall pay for all services rendered and expenses incurred through the effective date of termination.

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide additional notice (such as adding a statement to our website or sending you a notification). Your continued use of our website or services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using our website and services.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the intent of the original provision. WinTechnology Inc. shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause that is beyond the reasonable control of WinTechnology Inc., including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, labor disputes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of telecommunications or information technology infrastructure, hacking, cyberattack, or any other event beyond our reasonable control.
